Terms of Service

Effective Date: July 1, 2026 — Governed under the laws of the Federal Republic of Nigeria.

1. Introduction & Acceptance

Welcome to Ulisha Store ("Ulisha Store", "we", "our", or "us"), operated by Ulisha Limited, a company incorporated under the Companies and Allied Matters Act (CAMA) 2020 in the Federal Republic of Nigeria. These Terms of Service ("Terms") govern your access to and use of our website, platform, and transactional services.

By registering an account, placing an order, submitting a vendor application, or navigating our platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease using the platform.

2. Eligibility

To register or transact on Ulisha Store, you must:

  • Be at least 18 years of age and possess full legal capacity to enter into binding agreements under Nigerian law.
  • Not be barred from using our services under applicable Nigerian or international laws.
  • Provide accurate, current, and complete registration information.
  • For vendor accounts: be a legally registered business entity in good standing, with valid CAC registration and applicable trade licenses.

3. Account Security & Vendor Verification

Vendor applicants are required to upload valid corporate verification assets during onboarding, which may include:

  • CAC Certificate of Incorporation or Business Name Registration
  • Tax Identification Number (TIN) issued by the Federal Inland Revenue Service (FIRS)
  • Product sourcing licences or authorized distributor agreements
  • Account Responsibility: You are solely responsible for maintaining the confidentiality of your login credentials and all activity occurring under your account.
  • Audit Rights: We reserve the right to re-verify your business profile at any time.
  • Suspension: Accounts found to contain fraudulent, misleading, or non-compliant information may be suspended or terminated without prior notice.

4. Product Listings, Pricing & Availability

While we strive for accuracy, product descriptions, pricing, and availability on Ulisha Store may occasionally contain errors. We reserve the right to:

  • Correct typographical errors, update pricing, or amend quantities at any time without liability.
  • Treat order placements as offers to purchase, finalized only upon written order confirmation from us.
  • Notify you and offer alternatives or a full refund if an item becomes unavailable after payment.

5. Payment, Taxes & Settlements

All transactions are processed through our authorized payment partners — Paystack (card and bank payments) and MixPay (cryptocurrency payments) — both PCI-DSS-compliant. By completing a purchase, you authorize us to charge the full amount including applicable Value Added Tax (VAT) at the prevailing rate prescribed by Nigerian law, customs duties, and logistics fees where applicable.

We do not store raw payment card details on our servers. All payment processing leverages tokenized architecture managed by our licensed payment partners in compliance with the Central Bank of Nigeria (CBN) payment system guidelines.

6. Delivery & Logistics

To facilitate delivery, we share necessary information (name, phone number, delivery address) with our logistics partners. Delivery timelines provided at checkout are estimates only. Ulisha Store is not liable for delays caused by:

  • Nigeria Customs Service (NCS) enforcement or clearance holdups
  • Natural disasters, force majeure events, or civil unrest
  • Courier failures or third-party logistics disruptions outside our control

Risk of loss and title transfer to the buyer upon handoff to the designated logistics provider.

7. Consumer Rights (FCCPA 2018)

In compliance with the Federal Competition and Consumer Protection Act (FCCPA) 2018 and the Consumer Protection Council Act, customers are entitled to:

  • Receive goods that match their description and are fit for purpose.
  • Be informed of all charges, fees, and terms before completing a purchase.
  • Request refunds or remedies for defective or misrepresented goods. See our Refund Policy for full details.
  • Lodge complaints with the Federal Competition and Consumer Protection Commission (FCCPC) if disputes remain unresolved.

8. Intellectual Property Rights

All content on Ulisha Store — including software, user interface layouts, text, graphics, logos, and brand names — is the exclusive property of Ulisha Limited or its licensors, protected under Nigerian copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the platform for lawful purposes only. You may not copy, scrape, reproduce, modify, or reverse-engineer any component without our prior written consent.

9. Prohibited Conduct

Users are strictly prohibited from:

  • Submitting fake, forged, or unauthorized corporate documents during vendor verification.
  • Using automated bots, scrapers, or malicious scripts to extract platform data.
  • Circumventing security controls, payment escrow, or API rate limits.
  • Engaging in market manipulation, fraudulent reviews, or defamatory actions.
  • Violating any provision of the Cybercrime (Prohibition, Prevention, Etc.) Act 2015 in connection with use of this platform.

10. Platform Availability

Ulisha Store is hosted on enterprise cloud infrastructure. We do not guarantee uninterrupted or error-free availability. Scheduled maintenance, upgrades, or unforeseen technical issues may result in temporary downtime. We will endeavour to provide advance notice of planned maintenance where possible.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, Ulisha Store and Ulisha Limited shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business revenue arising from your use of the platform.

Our total cumulative liability for any verified claim shall not exceed the amount paid by you to Ulisha Store for the specific order under dispute.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ulisha Store, Ulisha Limited, its directors, officers, employees, and logistics partners from any claims, liabilities, damages, and legal expenses arising from your breach of these Terms, misuse of our platform, or violation of applicable Nigerian laws.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or related to these Terms shall first be resolved through good-faith negotiation. If unresolved within 45 days, disputes shall be referred to the competent courts of Nigeria having jurisdiction. Nothing herein prevents you from lodging a complaint with the FCCPC.

14. Modifications to Terms

We reserve the right to amend these Terms at any time. Changes will be published on this page with an updated effective date. Continued use of the platform following publication of changes constitutes acceptance of the revised Terms.
